Terms of Service for Goodspring Keel

These terms govern a merchant's use of the Goodspring Keel application for Shopify and the Goodspring Keel grader at good-spring.com. Installing the app, or using the grader, means accepting them.

1. What Keel does

Keel reads a merchant's product data, reports what it finds against published rules, and, when the merchant chooses, writes corrections back to that product data.

Keel reports findings as counts with denominators. It does not score a store, and it does not state that a store or a product meets any legal, regulatory or platform requirement. A finding says what Keel observed in the data; it does not say what any third party will do with that data. Google, Shopify and other platforms evaluate merchant data on their own schedules and by their own criteria, which Keel neither controls nor predicts.

2. What Keel writes, and how

Keel writes only to product data in the merchant's own store, and only to fields the merchant's authorization covers. Every write, including every bulk write, follows the same three steps:

1. Preview. Keel shows the exact before and after values for every product in the change, and the merchant confirms before anything is written.
2. Snapshot. Keel records the prior values of every field it is about to change.
3. Undo. For 30 days after a change, the merchant can restore the snapshot from the app and return the affected fields to their prior values.

Keel never writes an identifier it invented. GTINs, MPNs and brand names come from the merchant, from a file the merchant supplies, or from the manufacturer. Where Keel suggests a value, the suggestion is labelled as such and is written only after the merchant confirms it. In an assisted fix the merchant remains responsible for the values entered, including values the merchant accepts from a suggestion or imports from a supplier file.

3. What happens on uninstall

Corrections Keel has written remain in the merchant's store. They are the merchant's product data, and uninstalling Keel does not revert them. A merchant who wants a change reversed should use the undo described in section 2 before uninstalling, while the snapshot is still within its window.

What Keel itself holds is deleted on uninstall, on the schedule in the Privacy Policy.

4. Third-party accounts

Connecting a Google Merchant Center account is optional at every step, and Keel works without it. Where a merchant connects one, Keel reads item statuses and the reasons given for them, and writes nothing to that account. The merchant can disconnect at any time from the app's settings, which revokes Keel's token and deletes the statuses Keel stored.

Use of Shopify and of Google Merchant Center remains governed by those companies' own terms, which Keel does not alter.

5. Fees

Plans, their prices and what each includes are shown in the app before a merchant subscribes, and billing runs through Shopify. A one-time charge is described and priced before it is authorized. A merchant may cancel at any time; cancellation takes effect at the end of the current billing period, and Keel does not refund a period already begun unless it is required to.

6. Limitation of liability

Keel is provided as it is. To the fullest extent the law allows, Goodspring LLC makes no warranty of any kind about Keel, including any implied warranty of merchantability, fitness for a particular purpose, or uninterrupted or error-free operation.

This section covers bulk writes specifically. A bulk write touches many products at once, and a mistake in one can therefore reach many. The merchant's remedy for any write Keel makes, single or bulk, correct or incorrect, is the preview, the snapshot and the 30-day undo described in section 2. Goodspring LLC is not liable for any indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost revenue, lost sales, lost data, or any change in how any third party treats the merchant's products or account, whether or not Goodspring LLC was advised that such damages were possible.

Where liability cannot be excluded, the total liability of Goodspring LLC for all claims relating to Keel is limited to the greater of one hundred United States dollars, or the fees the merchant paid for Keel in the three months before the event giving rise to the claim.

Nothing in this section limits liability that the law does not permit to be limited.

7. Acceptable use

A merchant may not use Keel to write data the merchant does not have the right to write, to misrepresent a product, or to submit data the merchant knows to be false. Goodspring LLC may suspend or end access where it reasonably believes Keel is being used that way.

8. Changes to these terms

Goodspring LLC may change these terms. The version date at the top changes with them, material changes are notified in the app before they take effect, and continuing to use Keel after that means accepting the new version. Prior versions are kept and are available on request.

9. Governing law

These terms are governed by the laws of the State of Iowa, United States, without regard to its conflict-of-laws rules. The state and federal courts sitting in Iowa have exclusive jurisdiction over any dispute arising out of them, and the parties consent to that jurisdiction.
